IMPORTANT: PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE PLATFORM. BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.
1.1. "Platform" refers to the online marketplace operated by the Platform Operator, including all associated services, applications, websites, APIs, and related infrastructure.
1.2. "Platform Operator" (also referred to as "we," "us," or "our") means the entity that owns and operates the Platform as indicated on the Platform's official pages.
1.3. "User" (also "you" or "your") means any individual or legal entity that accesses, browses, registers on, or uses the Platform in any capacity.
1.4. "Buyer" means a User who purchases, downloads, or otherwise obtains Products through the Platform.
1.5. "Seller" means a User who has been approved to list, offer, sell, or distribute Products through the Platform.
1.6. "Product" or "Digital Product" means any digital good, content, software, template, media file, document, course material, or other digital asset listed for sale or distribution on the Platform.
1.7. "Content" means any text, images, videos, audio, code, data, or other materials uploaded, posted, or transmitted through the Platform.
1.8. "Account" means a registered profile on the Platform associated with a User's credentials.
1.9. "Transaction" means any purchase, sale, exchange, or transfer of Products or funds conducted through the Platform.
2.1. By creating an Account, accessing, or using the Platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, Fair Use Policy, and all other policies referenced herein.
2.2. If you are accessing or using the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.
2.3. We reserve the right to modify these Terms at any time. Changes become effective upon posting on the Platform. Your continued use of the Platform after any modification constitutes your acceptance of the revised Terms.
2.4. If you do not agree to any provision of these Terms, you must immediately cease all use of the Platform and close your Account.
3.1. You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to use the Platform.
3.2. You must provide accurate, current, and complete information during registration and keep your Account information up to date.
3.3. You are solely responsible for maintaining the confidentiality of your Account credentials. You agree to immediately notify us of any unauthorized use of your Account.
3.4. You may not create multiple Accounts for the same individual or entity, use another User's Account, or transfer your Account to any other person or entity without our express written consent.
3.5. We reserve the right to refuse registration, suspend, or terminate any Account at our sole discretion, without prior notice and without liability.
4.1. The Platform acts solely as an intermediary that facilitates Transactions between Buyers and Sellers. The Platform is not a party to any Transaction between Users.
4.2. The Platform does not own, create, inspect, verify, certify, endorse, guarantee, or take responsibility for any Products listed by Sellers, except as may be expressly stated otherwise.
4.3. The Platform does not guarantee the quality, safety, legality, accuracy, completeness, or fitness for any particular purpose of any Product, listing description, or User-generated Content.
4.4. All Transactions are conducted directly between Buyers and Sellers. The Platform facilitates the order process, payment processing, and delivery of digital Products, but is not responsible for the fulfillment of any contractual obligations between Users.
4.5. The Platform has no obligation to mediate disputes between Users beyond the dispute resolution mechanisms described in the Dispute Resolution Policy.
5.1. Purchase and Delivery. When you purchase a Product through the Platform, you enter into an agreement directly with the Seller. The Platform processes the payment and facilitates delivery, but the Seller is solely responsible for the Product.
5.2. License, Not Ownership. Unless expressly stated otherwise in the Product listing, purchasing a Product grants you a non-exclusive, non-transferable, revocable license to use the Product for your personal or internal business purposes in accordance with the Seller's license terms.
5.3. No Resale or Redistribution. You may not resell, redistribute, sublicense, share, publicly display, or make available any purchased Product to third parties unless expressly permitted by the Seller's license.
5.4. Refund Policy. Due to the nature of digital Products, all sales are generally considered final. Refund requests may be submitted within the timeframe specified in the applicable Product listing or Platform policy, and will be reviewed on a case-by-case basis. Grounds for refund may include:
5.5. Assumption of Risk. You acknowledge that you assume all risk associated with using purchased Products. You are responsible for scanning Products for malware, verifying compatibility, and ensuring compliance with applicable laws in your jurisdiction.
5.6. No Platform Warranty on Products. The Platform makes no warranty or representation regarding the content, functionality, compatibility, or safety of any Product purchased through the Platform.
6.1. Application and Approval. Seller Accounts require administrator approval. Submission of an application does not guarantee approval. We may approve, reject, or revoke Seller status at our sole discretion without explanation.
6.2. Seller Representations and Warranties. By listing a Product on the Platform, the Seller represents and warrants that:
6.3. Content Accuracy. Sellers are solely responsible for the accuracy and completeness of their Product listings, descriptions, pricing, screenshots, and all related materials.
6.4. Pricing and Commission. The Platform charges a commission on each Transaction as specified in the Commission Policy. Sellers set their own prices, which must accurately reflect the Product being sold.
6.5. No Employment Relationship. The relationship between the Seller and the Platform is that of independent parties. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship.
6.6. Tax Obligations. Sellers are solely responsible for determining, collecting, reporting, and remitting all applicable taxes, duties, and fees arising from their sales. The Platform is not responsible for any tax compliance obligations of Sellers.
6.7. Seller Indemnification. Sellers agree to indemnify and hold harmless the Platform, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from or related to any Product listed or sold by the Seller.

7.3. The Platform reserves the right to remove any Content, Product, or Account that violates these Terms, without prior notice and without liability.
8.1. Platform Intellectual Property. The Platform, its name, logos, design, code, features, and all related intellectual property are owned by or licensed to the Platform Operator. No rights are transferred to Users except as expressly provided in these Terms.
8.2. User Content License. By uploading Content to the Platform, you grant the Platform a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, display, distribute, and modify your Content solely for the purpose of operating, promoting, and improving the Platform.
8.3. Seller Product Rights. Sellers retain all intellectual property rights to their Products. Listing a Product on the Platform does not transfer any ownership rights to the Platform, except for the limited license necessary to display, distribute, and facilitate Transactions.
8.4. DMCA and Takedown Requests. The Platform respects intellectual property rights and will respond to notices of alleged infringement in accordance with applicable laws. Users who believe their intellectual property rights have been infringed may submit a takedown notice through the Platform's contact channels.
9.1. All payments are processed through third-party payment processors. The Platform does not store credit card numbers or sensitive payment information directly.
9.2. Prices are displayed in the currency specified on the Platform and may be subject to currency conversion fees imposed by payment processors or financial institutions.
9.3. The Platform deducts its commission and any applicable fees before disbursing proceeds to Sellers. Payout schedules and minimum thresholds are specified in the Platform's financial policies.
9.4. The Platform reserves the right to hold, delay, or withhold payments in cases of suspected fraud, disputes, chargebacks, or violations of these Terms.
9.5. Users are responsible for any bank fees, currency conversion costs, or other charges associated with receiving or sending payments.
10.1. The Platform may offer features powered by artificial intelligence, including but not limited to content generation, translation, description generation, image generation, search, and moderation.
10.2. AI-generated content is provided on an "as-is" basis. The Platform makes no warranty regarding the accuracy, quality, originality, or fitness for any purpose of AI-generated content.
10.3. Users are solely responsible for reviewing, editing, and verifying any AI-generated content before using or publishing it.
10.4. AI features may use third-party APIs and are subject to the respective providers' terms of service and usage policies. Usage of AI features may incur costs as specified in the Platform's AI pricing documentation.
10.5. The Platform is not liable for any claims, damages, or consequences arising from the use of AI-generated content, including but not limited to intellectual property claims, factual inaccuracies, or inappropriate content.
11.1. THE PLATFORM AND ALL CONTENT, PRODUCTS, SERVICES, AND FEATURES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
11.2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM OPERATOR EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
11.3. No advice, information, or statement by the Platform or its representatives, whether oral or written, shall create any warranty not expressly stated in these Terms.
12.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM OPERATOR, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY:
12.2. IN NO EVENT SHALL THE PLATFORM OPERATOR'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).
12.3. THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF THE PLATFORM OPERATOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.4. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
13.1. You agree to indemnify, defend, and hold harmless the Platform Operator, its affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
14.1. The Platform reserves the right to suspend, restrict, or terminate any Account at any time, for any reason or no reason, with or without prior notice, without liability.
14.2. Grounds for suspension or termination include, but are not limited to:
14.3. Upon termination, your right to access and use the Platform ceases immediately. The Platform may, but is not obligated to, retain or delete your Content and data.
14.4. Sections of these Terms that by their nature should survive termination shall continue in effect, including but not limited to: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Dispute Resolution.
15.1. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
15.2. By using the Platform, you consent to the collection, use, and processing of your information as described in the Privacy Policy.
16.1. The Platform Operator shall not be liable for any delay, failure, or interruption in performance resulting from causes beyond its reasonable control, including but not limited to: natural disasters, pandemics, wars, acts of terrorism, government actions, cyberattacks, infrastructure failures, power outages, internet disruptions, or third-party service outages.
17.1. These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction where the Platform Operator is established, without regard to conflict of law principles.
17.2. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in the jurisdiction where the Platform Operator is established, unless otherwise required by mandatory consumer protection laws of your jurisdiction.
17.3. Notwithstanding the foregoing, the Platform Operator reserves the right to seek injunctive or equitable relief in any court of competent jurisdiction.
18.1. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed, and the remaining provisions shall continue in full force and effect.
19.1. These Terms, together with the Privacy Policy, Fair Use Policy, Warranty Policy, Dispute Resolution Policy, and any other policies referenced herein, constitute the entire agreement between you and the Platform Operator regarding your use of the Platform.
19.2. These Terms supersede all prior agreements, negotiations, representations, and proposals, whether written or oral, relating to the subject matter hereof.
20.1. The failure of the Platform Operator to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by the Platform Operator.
21.1. You may not assign or transfer your rights or obligations under these Terms without the Platform Operator's prior written consent.
21.2. The Platform Operator may assign or transfer its rights and obligations under these Terms without restriction.
